Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of WarmList — the website at warmlist.app, your account, the daily list we deliver, and Reply Studio (together, the "Service"). By creating an account, buying a plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is

You give us your product's URL. Every morning we search public Reddit posts, pick up to 10 threads where someone is describing a problem your product addresses, and put them in your list with a draft reply already written for each one. Reply Studio is the part of the app where you rewrite those drafts, give WarmList your strategy and background knowledge, and keep track of which threads you have answered.

WarmList never posts to Reddit. It has no access to your Reddit account, it does not submit posts, comments, or messages, and it does not act on Reddit on your behalf. A draft is text on your screen until you copy it and post it yourself, from your own account. Everything you post is your own post: you are responsible for following Reddit's User Agreement, its content policy, the rules of each subreddit you post in, and any law that applies to you — including rules about disclosing that you have a commercial interest in what you are recommending. We give you drafts; we do not give you permission to post anywhere.

3. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live) and able to enter a binding contract. Accounts are passwordless: you sign in with Google or with a one-time link sent to your email address. You are responsible for keeping control of that address — it is where your morning list, your notifications, and any correspondence about your subscription are delivered.

One subscription covers one product URL. If you want lists for a second product, you need a second subscription. Accounts are for you and your own team; do not share your sign-in outside it.

4. Plans, billing, and renewal

Prices are in US dollars. The price shown at checkout is the price you pay, and it is the one that governs.

• Trial — $9 for the first 3 days. Then renews automatically at $39 per month until you cancel. Cancel from your account before day 4 and nothing more is charged. If you bought the earlier 3-day pass, it simply ends; nothing renews.
• Monthly — $39 per month. Renews automatically every month until you cancel.
• 3 months — $79, then $29 per month. One payment for the first 3 months; after that it renews automatically each month at $29 until you cancel.

Renewing plans renew automatically. The renewal cadence is stated on the pricing card before you buy and again at checkout, and Stripe emails you about upcoming renewals as described in Section 5. If a renewal payment fails, we may pause your list until the payment succeeds, and may end the subscription if it keeps failing.

We may change prices. A change never affects a period you have already paid for; for renewing plans, a new price applies from the next renewal after we tell you about it.

5. Payment, seller of record, and tax

WarmList sells through Stripe Managed Payments, Stripe's merchant-of-record service. That changes who the seller on your purchase is, so it is worth reading:

• Who sells you the subscription. In a Managed Payments transaction, Link is the merchant of record and your purchase is shown as Sold through Link. The transaction is acquired by Stripe Payments Company or Stripe Technology Europe, Limited. WarmList remains the party that builds and delivers the Service to you, and these Terms govern that.
• Card details. They go to Stripe. We never receive or store them.
• Your statement. The charge appears as LINK.COM* followed by our statement descriptor.
• Receipts and invoices. Stripe sends receipts, invoices, and refund or credit-note notices directly to you from Link, with PDF copies attached, and sends certain subscription emails such as upcoming-renewal notices.
• Trial reminder. We email you the day before your trial ends.
• Tax. Managed Payments handles indirect tax (sales tax, VAT, GST) compliance in over 80 countries: Stripe calculates and collects the tax due on your purchase, registers with the local tax authority, files the returns, remits the tax, and issues a tax invoice where one is required. Our prices are shown before tax; any tax due is added at checkout, and checkout shows you the amount before you pay. WarmList is operated from Japan, and Managed Payments does not cover domestic sales by a Japan-based business, so for customers in Japan the Japanese consumption tax on the sale remains our responsibility.
• Fraud and chargebacks. Stripe screens transactions for fraud and handles payment disputes and chargebacks on our behalf.
• Support. Stripe provides transaction-level support for Managed Payments purchases through Link support — a charge you do not recognise, a receipt, a refund request. Anything about the product itself — your list, your drafts, your account — comes to us at support@warmlist.app.

6. Cancellation and refunds

Cancelling. You can cancel a renewing plan at any time from Manage billing in your account, or from your order history on link.com, where you can also update your card and billing address. Cancelling stops the next renewal; it does not end the period you have already paid for. You keep your morning list until that period runs out, and we do not charge you again after it. The 3-day pass has nothing to cancel — it ends on its own.

Refunds. Because Link is the merchant of record, refunds on a Managed Payments purchase are governed by Stripe's purchase terms and are requested through Link support. Under those terms Stripe may issue a refund within 60 days of the original transaction in certain cases, and Stripe applies the consumer-protection requirements that apply to you, including regional cooling-off periods where they exist. Nothing in these Terms limits a refund or cancellation right you have under the law where you live.

Beyond that, WarmList does not offer refunds. The Service is delivered as it is produced — your first list arrives about 10 minutes after you add your product URL, and a new one every morning after that — so a period that has been delivered is not refunded, and a subscription cancelled part-way through a paid period is not refunded pro rata. The trial in particular starts delivering on day one, which is what you are paying for. The first monthly charge after a trial is refunded on request within 7 days. If something has gone wrong with your list, write to us first at support@warmlist.app — we would rather fix it.

7. What we deliver, and what we do not promise

• Up to ten, not ten. A morning list holds up to 10 threads. Some mornings there are fewer, because there were fewer public posts worth sending you. A short list is not a failure of the Service — we would rather send you four good threads than ten padded ones.
• Drafts are suggestions. Every draft reply is generated by software, including large-language models. It can be wrong, stale, off-tone, or unsuitable for the subreddit it is aimed at. Read it, edit it, and decide for yourself before you post anything. You are the author of what you post.
• No outcome is promised. We do not guarantee that a thread is still open, that anyone will reply, that a reply will survive a subreddit's moderation, or that any of it turns into a customer.
• Timing. The morning delivery is a target, not a deadline. Occasional delays happen, and a run can fail; we retry.

8. Acceptable use

You agree not to:

• use the Service for any unlawful purpose, or submit a URL for a product or site that is unlawful;
• use your list or your drafts to spam, brigade, astroturf, harass, or deceive anyone — including posting the same draft across many subreddits, or hiding that you are connected to the product you are recommending;
• resell, republish, or redistribute your lists or drafts as a standalone data product, or use them to train a competing model or service;
• use Reply Studio beyond fair use for a single product. Generation is subject to reasonable daily limits so that one account cannot exhaust capacity for everyone; the app tells you when you have reached the current limit, and we may adjust it;
• probe, disrupt, or attempt to access non-public parts of the Service, automate access to it outside the app, or misrepresent who you are when using it.

9. Data sources and processors

Lists are built from posts and comments that were publicly visible on Reddit at the time of the run. We do not access private subreddits, direct messages, or any non-public data. Public content changes: threads are locked, edited, or deleted, and accounts disappear — sometimes between the moment we collect a thread and the moment you read it. We therefore do not guarantee that a list is accurate, complete, or current.

To run the Service we use a small set of providers as processors: Supabase (accounts and data), Stripe (payments, as described in Section 5), Cloudflare (hosting), Resend (email), OpenAI and, where configured, OpenRouter (scoring and draft generation), and licensed third-party data providers (reading public Reddit content). The Privacy Policy describes what each one handles.

You keep all rights to what you submit to us — your product URL, your strategy, and the knowledge you paste into Reply Studio. You grant us the limited right to process it in order to build your lists and drafts, and for no other purpose.

10. Dependence on third parties

The Service depends on platforms and providers we do not control. Reddit may change its rules, its interface, or its availability; the sources we read public posts through may change or stop operating. If that happens, the Service may be interrupted, limited, or modified — including pausing new purchases or daily runs — without prior notice. If we stop the Service entirely while you are inside a period you have paid for, we will refund the unused part of that period.

11. Intellectual property

The Service — including the site, software, and WarmList branding — belongs to us. Your lists and drafts are licensed to you for your internal business use: finding and answering prospective customers for your own product. The public posts referenced in a list remain the property of their authors and are subject to Reddit's terms.

12. Disclaimer of warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Service will be uninterrupted or error-free.

13. Limitation of liability

To the maximum extent permitted by law, WarmList and its operator are not liable for indirect, incidental, special, or consequential damages, or for lost profits or lost business opportunities, arising from your use of the Service — including anything that follows from a reply you posted, such as a removed comment, a banned account, or a moderation action taken against you. Our total aggregate liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.

Nothing in these Terms limits liability for intentional misconduct or gross negligence, or any liability that cannot be limited under applicable law (including, where it applies, the Consumer Contract Act of Japan).

14. Termination

We may suspend or terminate an account that breaches these Terms; where we do and you have paid for a period you can no longer use, we will refund the unused part unless the breach was deliberate. You may cancel at any time as described in Section 6, and may request deletion of your account as described in the Privacy Policy. Sections that by their nature should survive termination (including Sections 7 through 13) survive it.

15. Changes to these Terms

We may revise these Terms from time to time. If a change is material, we will give notice on the site or by email to your account address before it takes effect. Using the Service after the new effective date means you accept the revised Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Any dispute arising from the Service will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, except where mandatory consumer-protection rules provide otherwise.
