Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of WarmList — the website at warmlist.app, your account, and any report we deliver (together, the "Service"). By creating an account, making a purchase, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is

WarmList is a lead-research service. You give us your product's URL; we scan public posts on X and compile a report of prospective customers who are already talking about the problems your product addresses. During the beta, X is the only data source. The finished report is delivered to your account email address.

WarmList is a research tool. It finds public conversations — it does not post, reply, or contact anyone on your behalf.

3. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live) and able to enter a binding contract. Accounts are passwordless: you sign in with Google. You are responsible for keeping control of the email address attached to your account — it is where your reports, receipts, and any refunds-related correspondence are delivered.

4. Payment, delivery, and refunds

• Price. During the beta, WarmList is a one-time purchase of $9 (USD). There is no subscription. One payment buys one run: a single scan and a single report for one product URL.
• Payment processing. Payments are handled by Stripe. Your card details go directly to Stripe; we never receive or store them.
• Delivery. Your report is delivered by email within 48 hours of purchase.
• Zero-lead refund. If your report contains zero qualified leads, we refund the full purchase price. A "qualified lead" is an existing X account listed in your report as a candidate whose public post discusses the problem your product addresses; a report containing one or more candidates therefore does not qualify for this refund. To request it, email shunsuke.main.0810@gmail.com from the address you used at checkout, within 14 days of the delivery email. Because each report is researched individually for your product, purchases are otherwise non-refundable once the report has been delivered.
• Price changes. Pricing may change during or after the beta. The price shown at checkout is the price you pay.

5. Acceptable use

You agree not to:

• use the Service for any unlawful purpose, or submit a URL for a product or site that is unlawful;
• use a report to spam, harass, or deceive the people identified in it — when you contact a lead, you are responsible for complying with applicable law (including anti-spam rules) and with X's own terms;
• resell, republish, or redistribute reports as a standalone data product;
• probe, disrupt, or attempt to access non-public parts of the Service, or misrepresent who you are when using it.

6. Data sources and accuracy

Reports are compiled from posts that were publicly available on X at the time of the scan. We do not access private accounts, direct messages, or any non-public data. Public content changes: posts may be edited or deleted, and accounts may disappear after your report is produced.

We therefore do not guarantee that any report is accurate, complete, or current, nor that any lead will respond, be reachable, or become a customer. The zero-lead refund in Section 4 is the specific remedy for a report that surfaces nothing usable.

The Service also depends on third-party platforms and data-collection providers we do not control. X may change its interface, availability, or terms, and the collection infrastructure we rely on may change or stop operating; if that happens, the Service may be interrupted, limited, or modified — including pausing new purchases or runs — without prior notice. If a run you have paid for cannot be delivered because of such an interruption, we will refund that purchase.

7. Intellectual property

The Service — including the site, software, and WarmList branding — belongs to us. Your report is licensed to you for your internal business use: researching and contacting prospective customers for your own product. The public posts referenced in a report remain the property of their authors and are subject to X's terms. You keep all rights to the information you submit to us.

8. Disclaimer of warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, WarmList and its operator are not liable for indirect, incidental, special, or consequential damages, or for lost profits or lost business opportunities, arising from your use of the Service. Our total aggregate liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.

Nothing in these Terms limits liability for intentional misconduct or gross negligence, or any liability that cannot be limited under applicable law (including, where it applies, the Consumer Contract Act of Japan).

10. Termination

We may suspend or terminate an account that breaches these Terms. You may stop using the Service at any time and may request deletion of your account as described in the Privacy Policy. Sections that by their nature should survive termination (including Sections 6 through 9) survive it.

11. Changes to these Terms

We may revise these Terms from time to time. If a change is material, we will give notice on the site or by email to your account address before it takes effect. Using the Service after the new effective date means you accept the revised Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Any dispute arising from the Service will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, except where mandatory consumer-protection rules provide otherwise.
